General Terms and Conditions

These General Terms and Conditions (GTC) govern the consulting and implementation services provided by Aixis AG in project management, Excel solutions and smart automation. The German version prevails in case of discrepancies.

Last updated: August 2026

1. Scope

These GTC apply to all offers, contracts and services of Aixis AG, Zürichstrasse 215, 8122 Binz, Schweiz ("Aixis") towards its clients ("Client"). Deviating terms of the Client only apply if Aixis agrees in writing.

Individual agreements (offer, order confirmation, contract) take precedence over these GTC.

2. Conclusion of contract

Unless stated otherwise, offers from Aixis are valid for 30 days. The contract is concluded upon written confirmation of the offer (email is sufficient) or when service delivery begins.

3. Services

Aixis provides the services described in the offer professionally and with the diligence of an experienced provider. Unless a specific work product is expressly agreed, the services constitute a mandate (Art. 394 et seq. Swiss Code of Obligations); no particular economic outcome is guaranteed.

Aixis may engage suitable subcontractors and remains responsible for their performance. Changes in scope are agreed in writing and charged additionally where they cause effort.

4. Client cooperation

The Client provides the information, data, access and contact persons required for delivery in good time and in full. Delays or additional effort caused by missing cooperation are borne by the Client.

The Client is responsible for the accuracy of the data provided and for backups of its own data and files.

5. Fees, expenses and payment

Remuneration is based on time and material at the agreed hourly rates or on the agreed fixed price. All prices are in Swiss francs (CHF), excluding statutory VAT.

Travel and incidental costs are charged as agreed. Invoices are payable net within 30 days of the invoice date. In case of late payment Aixis may charge default interest of 5% p.a. and suspend services until payment is received.

6. Deadlines

Dates are target dates unless expressly agreed as binding. Delays outside the control of Aixis (in particular missing cooperation, third-party disruptions, force majeure) extend deadlines reasonably.

7. Confidentiality

Both parties treat all non-public information received during the cooperation as confidential and use it only to perform the contract. This obligation survives termination of the contract.

Aixis may name the Client as a reference only with the Client's prior consent.

8. Data protection

The parties comply with applicable data protection law. Where Aixis processes personal data on behalf of the Client, it does so only under the Client's instructions and, where required, on the basis of a separate data processing agreement. Further information is available in our privacy policy.

9. Rights to work results

Upon full payment the Client receives a comprehensive, perpetual right to use the work results created for it (e.g. concepts, Excel models, automations, documentation) for the agreed purpose.

Pre-existing know-how, templates, building blocks and tools of Aixis remain the property of Aixis and may continue to be used for other clients. Third-party rights (e.g. third-party software) are governed by the respective provider's terms.

10. Defects

The Client reviews work results after delivery and reports defects in writing within 14 days. Aixis remedies reported defects within a reasonable period by rectification. Modifications made by the Client or third parties to work results exclude liability for defects.

11. Liability

Aixis is fully liable for damages caused intentionally or by gross negligence. Otherwise, and to the extent permitted by law, liability is limited to the fees paid for the respective engagement.

Liability for indirect and consequential damages is excluded, in particular loss of data, lost profit, business interruption or third-party claims. Aixis is liable for auxiliary persons only within the limits of these provisions.

12. Term and termination

Unless agreed otherwise, continuing contracts may be terminated by either party in writing with 30 days' notice to the end of a month. Services already rendered are payable in any case. Serious breaches of contract allow immediate termination.

13. Final provisions

Should individual provisions be invalid, the validity of the remaining provisions is not affected. Amendments require written form (email is sufficient).

Swiss law applies exclusively, excluding the Vienna Sales Convention (CISG). The exclusive place of jurisdiction is the registered office of Aixis in Binz (ZH), Switzerland.
